These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you") and Inspire Global Ventures Private Limited, a company incorporated under the Companies Act, 2013 and registered in Jharkhand, India (CIN: U47912JH2024PTC023316), operating under the brand name Velvida ("Company", "we", "us", "our").

By accessing our website, browsing our products, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Return and Refund Policy, all of which are incorporated herein by reference.

Velvida is a wellness and personal development brand offering digital and physical products across multiple categories including mental wellness, Ayurveda, sleep, relationships, career development, financial literacy, children's development, and senior care.

Our product portfolio includes digital programmes (PDF guides, audio modules, workbooks, diagnostic tools), physical bundles (journals, books, card decks, reference materials), and community access (WhatsApp groups, live Q&A sessions). All products are designed for general wellness, education, and lifestyle improvement purposes only.

To purchase products from Velvida, you must:

• Be at least 18 years of age. If you are under 18, you may only make a purchase with the express consent and involvement of a parent or legal guardian.
• Be legally capable of entering into a binding contract under the Indian Contract Act, 1872.
• Provide accurate, current, and complete information at the time of purchase.
• Reside in India or have a valid Indian payment method (for purchases made in INR).

We reserve the right to refuse service, cancel orders, or terminate accounts at our sole discretion if eligibility requirements are not met or if we suspect fraudulent activity.

Some Velvida products and platforms may require you to create an account. If you create an account, you agree to:

• Provide accurate and truthful information during registration.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at [email protected] if you become aware of any unauthorised use of your account.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or misuses our products or community platforms.

We make every effort to ensure that product descriptions, images, and specifications are accurate. However, we do not warrant that product descriptions are error-free, complete, or current. If a product is not as described, your sole remedy is to return it in accordance with our Return and Refund Policy.

All prices on our website are displayed in Indian Rupees (INR) and are inclusive of applicable GST unless otherwise stated. We reserve the right to change prices at any time without prior notice. Price changes will not affect orders that have already been confirmed and paid for.

Promotional prices, discount codes, and sale prices are valid only for the specified period and cannot be applied retrospectively to completed orders.

Digital products are available immediately upon successful payment. Physical products are subject to stock availability. In the rare event that a physical product is out of stock after your order has been confirmed, we will notify you within 2 business days and offer either a full refund or an estimated delivery date.

Your order is confirmed when you receive an order confirmation email from us. This email constitutes acceptance of your offer to purchase and forms a binding contract between you and the Company. We reserve the right to cancel any order prior to dispatch or fulfilment in exceptional circumstances, in which case a full refund will be issued.

We accept the following payment methods for purchases made in INR:

• UPI (all UPI-enabled apps including PhonePe, Google Pay, Paytm, BHIM)
• Debit cards and credit cards (Visa, Mastercard, RuPay, American Express)
• Net banking (all major Indian banks)
• Mobile wallets (Paytm, Mobikwik, etc.)
• No Cost EMI (on eligible cards and order values)
• Cash on Delivery (COD) — available on physical product orders only, subject to pin code serviceability

All payment transactions are processed through our PCI-DSS compliant payment gateway partners (Razorpay / Cashfree). We do not store, process, or transmit your card details, UPI IDs, or net banking credentials on our servers. By completing a payment, you agree to the terms of the respective payment gateway.

If your payment fails but an amount has been debited from your account, it will typically be automatically reversed by your bank or payment provider within 5–7 business days. If the reversal does not occur, please contact us at [email protected] with your transaction reference number and we will investigate.

Goods and Services Tax (GST) is applicable on all purchases as per Indian tax law. GST invoices will be provided upon request by emailing [email protected]. For business purchases requiring GST invoices with your GSTIN, please provide your GSTIN at the time of purchase or within 48 hours of the order date.

Digital products are delivered via an automated email containing a download link or access credentials, sent to the email address provided at checkout. Delivery is typically immediate upon payment confirmation, but may take up to 30 minutes in rare cases due to system processing.

Please check your spam or junk folder if you do not receive the delivery email within 30 minutes. If you still have not received access, contact us at [email protected] with your order ID.

Upon purchase of a digital product, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the content for your own personal, non-commercial purposes only. This licence does not transfer any ownership of intellectual property to you.

"Lifetime" access means access for as long as the Company continues to operate the relevant product or platform. In the event that a product is discontinued, we will provide at least 90 days' notice and ensure you can download all content before discontinuation.

You must not, under any circumstances:

• Share, redistribute, resell, sublicense, or transfer digital product content to any third party.
• Upload, post, or make any Velvida content publicly available on any platform, website, or social media.
• Reproduce, copy, or modify any Velvida content for commercial purposes.
• Use our content to create competing products, courses, or programmes.
• Remove or alter any copyright notices, watermarks, or branding from our content.

Violation of any of the above will result in immediate revocation of your access without refund and may result in legal action.

Physical products are shipped across India via our logistics partners (Delhivery, Shiprocket, or equivalent). Standard delivery timelines are 5–7 business days from the date of dispatch. Delivery timelines may vary depending on your location, public holidays, or circumstances beyond our control.

Shipping is free on all physical product orders at T3 (₹2,499) and T4 (₹4,999) price points. Shipping charges, if any, will be clearly displayed at checkout before payment is completed.

Risk of loss and title for physical products passes to you upon delivery to the specified shipping address. We are not responsible for delays caused by incorrect or incomplete addresses provided at checkout. Please ensure your shipping address is accurate and complete before confirming your order.

If delivery fails due to an incorrect address, the customer being unavailable after multiple attempts, or the customer refusing delivery, the order will be returned to us. In such cases, re-shipping charges will apply for re-delivery. If re-delivery is not requested within 14 days of the failed delivery, the order may be cancelled and a partial refund (excluding shipping costs and handling fees) will be issued.

Returns, refunds, and cancellations are governed by our dedicated Return and Refund Policy, which is incorporated into these Terms by reference. Key points:

• Digital products at T2, T3, T4 are eligible for a 30-day money-back guarantee.
• T1 digital products are non-refundable.
• Physical products can be returned within 7 days of delivery if damaged, defective, or incorrect.
• Approved refunds are processed within 5–7 business days.

All content on our website and within our products — including but not limited to text, graphics, logos, icons, images, audio recordings, video recordings, data compilations, written programmes, frameworks, methodologies, and software — is the exclusive property of Inspire Global Ventures Private Limited or its content licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian.

The names Velvida, Maan, Sukoon, Stride, Flow, Sakhi, Prakriti, Bond, Nidra, Rise, Wealth, Voice, Edge, Spark, Earn, Roots, and Seva, along with all associated logos and brand identities, are trademarks or trade names of Inspire Global Ventures Private Limited. You may not use any of these marks without our prior written consent.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable licence to access and use our website content and purchased products for personal, non-commercial purposes only. Nothing in these Terms transfers any intellectual property ownership to you.

If you submit testimonials, reviews, feedback, or any other content to us (via email, WhatsApp, social media, or any other channel), you grant us a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, publish, and display such content for marketing and promotional purposes, including on our website, social media, and advertising materials.

You agree not to use our website or products for any of the following purposes:

• Transmitting spam, unsolicited communications, or harmful or malicious content.
• Attempting to gain unauthorised access to any part of our website, servers, or databases.
• Scraping, crawling, or extracting data from our website using automated tools without our written consent.
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
• Interfering with or disrupting the security, integrity, or performance of our website or services.
• Reproducing, distributing, or commercially exploiting any Velvida content without prior written permission.
• Engaging in any conduct that is defamatory, obscene, harassing, or harmful to Velvida or its community members.

We reserve the right to terminate your access and take appropriate legal action for any violation of the above.

Certain Velvida products include access to moderated WhatsApp community groups and/or live Q&A sessions. By joining these communities, you agree to conduct yourself respectfully and constructively at all times.

The following are strictly prohibited within any Velvida WhatsApp community or live session:

• Sharing of any Velvida content (audio, PDF, worksheets) within the group or externally.
• Spam, promotional messages, or advertisements of any kind.
• Harassing, abusive, discriminatory, or offensive language directed at any member or facilitator.
• Sharing of misinformation, unverified medical claims, or content that could harm other members.
• Soliciting personal contact details from other members for commercial purposes.

Violation of community rules may result in immediate removal from the group without refund.

Live Q&A sessions are recorded and made available to eligible product holders. By participating in a live session, you consent to being recorded. Session recordings remain the intellectual property of Inspire Global Ventures Private Limited.

We reserve the right to remove any member from a community group at our sole discretion if their conduct violates these Terms or disrupts the experience of other members. Community access is not independently refundable once granted.

By purchasing a Velvida product, you acknowledge and accept that:

• You are purchasing an educational and lifestyle product, not a medical treatment.
• Results are not guaranteed and will vary based on individual effort, consistency, and circumstances.
• The Company is not liable for any adverse outcomes arising from the use of its products.
• You have consulted or will consult a healthcare professional if you have any underlying health conditions.

Our website and products are provided on an "as is" and "as available" basis without any representations or warranties, express or implied. To the fullest extent permitted by applicable Indian law, we disclaim all warranties including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
• Warranties regarding the accuracy, completeness, or reliability of any content on our website or in our products.

To the maximum extent permitted by applicable law, Inspire Global Ventures Private Limited, its directors, employees, agents, and partners shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our products or website.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Physical, psychological, or health-related outcomes resulting from the use of our wellness products.
• Damages arising from unauthorised access to or alteration of your data or transactions.

In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of our products shall not exceed the amount actually paid by you for the specific product giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable Indian law.

You agree to indemnify, defend, and hold harmless Inspire Global Ventures Private Limited and its directors, officers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of our website or products in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any intellectual property or other rights of a third party.
• Any content or information you submit to us or our community platforms.

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. The courts of Koderma, Jharkhand shall have exclusive jurisdiction over any disputes, subject to Clause 17.2 below.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your purchase from Velvida, the parties agree to first attempt to resolve the matter through good-faith negotiation. You must send a written notice of your dispute to [email protected], and we will respond within 15 business days.

Nothing in these Terms limits your rights as a consumer under the Consumer Protection Act, 2019 or other applicable Indian consumer protection legislation. If you are unsatisfied with our dispute resolution process, you have the right to approach the appropriate Consumer Disputes Redressal Commission.

We reserve the right to modify these Terms at any time. Updated Terms will be published on our website with a revised "Last Updated" date. We will make reasonable efforts to notify users of material changes via email or a prominent website notice.

Your continued use of our website or products after the publication of updated Terms constitutes your acceptance of the changes. For purchases made before any change, the Terms in effect at the time of purchase shall govern that transaction.
